Bu hükme aykırı harekette bulunan yönetim kurulu üyesinden, şirket tazminat istemekte veya tazminat yerine yapılan işlemi şirket namına yapılmış saymakta ve üçüncü şahıslar hesabına yapılan sözleşmelerden doğan menfaatlerin şirkete ait olduğunun sayılmasını talep etmekte, serbesttir.
